6.Countermeasures:
(1) To accelerate the integration of the resources in the group and
strengthen the financial resources, the Company is intended to participate
in the capital increase and equity transaction of the major subsidiary,
PCHOMESTORE INC., to complete the restructuring of the organization
and the business model. After completing the restructuring
, PCHOMESTORE INC. will become an 100% subsidiary of PChome eBay Co., Ltd.,
a subsidiary of the Company. This can help carry out and complete
the operation plan, increase operation effectiveness, optimize the synergies
of all business verticals, and strengthen the marketplace business.
(2) The reorganization plan include
Participation of cash capital increase of PCHOMESTORE INC. :
the Company will subscribe to PCHOMESTORE INC.’s newly issued
common shares of 58,723,900 with par value of NT$ 10. The unit price
is NT$ 10 with total transaction value of NT$587,239,000.
Share transaction of PCHOMESTORE INC.: after subscribing to
PCHOMESTORE INC.’s newly issued shares, the Company will sell
all PCHOMESTORE INC. shares of 58,723,908 to PChome eBay Co., Ltd.
After the transaction, PCHOMESTORE INC. will become an
100% subsidiary of PChome eBay Co., Ltd, while the Company
will owns 65% shareholdings of PCHOMESTORE INC. indirectly.
