All independent directors are newly appointed to maintain their independence, whose backgrounds are in law, accounting, finance, marketing and technology respectively, and of whom one used to serve as a minister in the public sector, and one as chairman of a technology manufacturing group. With different professional backgrounds, each independent director\u00a0 possesses competencies in operational judgment, accounting and financial analysis, management, crisis management, industry knowledge, international market perspective, leadership and decision-making skills, demonstrating multiple and complementary effectiveness. In emergency circumstances, however, a board meeting may be called on shorter notice.<\/h6><h6>\u00a0\u00a0\u00a0\u00a0 The notice to be given under the preceding paragraph may be effected by means of electronic transmission with the prior consent of the recipients.\u00a0<\/h6><h6>\u00a0\u00a0\u00a0\u00a0All matters set forth under Article 12, paragraph 1 of these Rules shall be specified in the notice of the reasons for convening a board meeting. None of those matters may be raised by an extraordinary motion except in the case of an emergency or for other legitimate reason.<\/h6><h6>Article 4<\/h6><h6>\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 \u00a0\u00a0(Meeting notification and meeting materials)<\/h6><h6>\u00a0\u00a0The discussion unit designated by the company&#8217;s board of directors is the BOD&#8217;s office.<\/h6><h6>The deliberation unit should formulate the content of the board meeting, provide sufficient meeting materials, and send it together with the convening notice.<\/h6><h6>If the director believes that the meeting materials are insufficient, he may request the meeting unit to make up for them. If the directors believe that the information on the proposal is insufficient, they may postpone the review upon resolution of the board of directors.\u00a0\u00a0\u00a0\u00a0A director who is of the opinion that the meeting materials provided are insufficient may request their supplementation by the unit responsible for board meetings. If a director is of the opinion that materials concerning any proposal are insufficient, the deliberation of such proposal may be postponed by a resolution of the board of directors.<\/h6><h6>Article 5<\/h6><h6>\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 \u00a0\u00a0(Preparation of attendance book and other documents; attendance by proxy)<\/h6><h6>\u00a0\u00a0\u00a0\u00a0When a board meeting is held, an attendance book shall be provided for signing-in by attending directors, which shall be made available for future reference.<\/h6><h6>\u00a0\u00a0\u00a0\u00a0Directors shall attend board meetings in person. However, the agenda may be changed with the approval of a majority of directors in attendance at the board meeting.<\/h6><h6>\u00a0\u00a0\u00a0\u00a0The chair may not declare the meeting closed without the approval of a majority of the directors in attendance at the meeting.<\/h6><h6>\u00a0\u00a0\u00a0\u00a0At any time during the course of a board meeting, if the number of directors sitting at the meeting does not constitute a majority of the attending directors, then upon the motion by a director sitting at the meeting, the chair shall declare a suspension of the meeting, in which case Article 8, paragraph 3 shall apply mutatis mutandis.<\/h6><h6>Article 12<\/h6><h6>\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 \u00a0\u00a0\u00a0(Matters requiring discussion at a board meeting)<\/h6><h6>\u00a0\u00a0\u00a0\u00a0The matters listed below as they relate to this Corporation shall be raised for discussion at a board meeting:<\/h6><h6>1.The Corporation&#8217;s business plan.<\/h6><h6>2.Annual and semi-annual financial reports, with the exception of semi-annual financial reports that are not required under relevant laws and regulations to be audited and attested by a certified public accountant (CPA).<\/h6><h6>3.Adoption or amendment of an internal control system pursuant to Article 14-1 of the Securities and Exchange Act and assessment of the effectiveness of the internal control system.<\/h6><h6>4.Adoption or amendment, pursuant to Article 36-1 of the Securities and Exchange Act, of any handling procedures for material financial or business transactions, such as the acquisition or disposal of assets, derivatives trading, loans of funds to others, and endorsements or guarantees for others.<\/h6><h6>5.The offering, issuance, or private placement of equity-type securities.<\/h6><h6>6.The appointment or discharge of a financial, accounting, or internal audit officer.<\/h6><h6>7.A donation to a related party or a major donation to a non-related party, provided that a public-interest donation of disaster relief that is made for a major natural disaster may be submitted to the following board of directors meeting for retroactive recognition.<\/h6><h6>8.Any matter that, under Article 14-3 of the Securities and Exchange Act or any other law, regulation, or bylaw, must be approved by resolution at a shareholders meeting or board meeting, or any material matter as may be prescribed by the competent authority.<\/h6><h6>\u00a0\u00a0\u00a0\u00a0The term &#8220;related party&#8221; in subparagraph 7 of the preceding paragraph means a related party as defined in the Regulations Governing the Preparation of Financial Reports by Securities Issuers. The term &#8220;major donation to a non-related party&#8221; means an individual donation, or cumulative donations within a 1-year period to a single recipient, at an amount of NTD100 million or more, or at an amount equal to or greater than 1 percent of net operating revenue or 5 percent of paid-in capital as stated in the CPA-attested financial report for the most recent year. Said internal evaluation is divided into a self-evaluation of the performance of the Board of Directors (including its functional committees) and a self-evaluation of individual Board member\u2019s performance.<br \/>The Company has conducted a self-evaluation of the Board of Directors&#8217; performance for the FY 2024 in accordance with the aforesaid self-evaluation rules. The self-evaluation was conducted by means of a questionnaire, and the results of the evaluation were presented in five levels: Number 1: Very poor (strongly disagree); Number 2: Poor (disagree); Number 3: Average (average); Number 4: Good (agree); Number 5: Excellent (strongly agree).
